1. Terms and Conditions of Use
By accessing our website or application, you are agreeing to be bound by these Terms and Conditions of Use (the “Terms of Use”) that apply to the web site located at www.consensusresourcegroup.com (the “Site”) and the Consensus Mobile application (the “App”). The Site and App are the property of Consensus Resource Group Ltd. (“Consensus”).

2. Services and Content
The materials contained on our Site and in our App and the services we provide to you are proprietary and protected by copyright law.  Permission is granted to download copies of the materials (reports, identifications, graphs, or identification codes) supplied by the Site or App.  This is the grant of a license, not a transfer of title, and under this license you may not (1) modify or copy the materials; (2) make any additional representations or warranties relating to such documents; (3) remove any copyright or other proprietary notations from the materials; (4) transfer the materials to another person; (5) “mirror” the materials on any other application or server; (6) or attempt to decompile or reverse engineer any software contained on the Site or App.  You agree that Consensus may, in its sole discretion and without prior notice, terminate your access to the Site or App if we determine that you have violated these Terms of Use or restrictions; this license shall automatically terminate without any liability accruing to Consensus. Upon termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format. You may not use the materials for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Consensus or others.  All trademarks, product names and company names or logos cited herein are the property of Consensus with all rights reserved and may not be reproduced for any purpose without prior written authorization.

3. Disclaimer
The materials on the Site and App are provided “as is”. Consensus makes no warranties, expressed or implied, and hereby disclaims and negates all warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. You acknowledge that your use of this site is for business purposes. Further, Consensus does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on the Site or App, or otherwise relating to such materials on any sites linked to this Site or App.

4. Limitations
To the extent permitted by law, in no event shall Consensus or its partners or suppliers be liable for any damages arising out of the use of, or inability to use, the materials on the Site or App, even if Consensus has been notified of the possibility of such damages, including without limitation, damages for loss of data or profit, or due to business interruption. If Consensus is found liable for any damage or loss, Consensus’ liability shall in no event exceed the greater of (1) the cost the fee charged for the services that are the subject of the claim(s) or (2) CAD $100.  You agree to indemnify and hold Consensus, and its officers and directors, harmless from any demands, costs, losses, or expenses (including attorneys’ fees), made against Consensus by any third party due to or arising from any claim relating to your use of the Site or App.

The materials appearing on the Site or App could include technical, typographical, or photographic errors. Consensus does not warrant that any of the materials on the Site or App are accurate, complete, or current. Consensus may make changes to the materials contained on the Site or App at any time without notice. Consensus does not, however, make any commitment to update the materials.
